Partner Program Terms
Draft — last updated [DATE TO SET AT LAUNCH]
These Partner Program Terms ("Partner Terms") are an agreement between BHIH International LLC ("Avoonta", "we", "us") and the person or business that applies to and is accepted into the Avoonta Partner Program ("Partner", "you"). By applying, ticking the box to accept, or sharing your referral link, you agree to these Partner Terms. If you accept on behalf of a company, you confirm you have authority to bind it. Our Terms of Service and Privacy Policy also apply to your use of our websites and app.
1. Joining the program
- You apply from the partner portal with your name, a referral code, the website or channel where you will promote Avoonta, and how you plan to promote it. You must be at least 18.
- We review every application and may accept or decline it at our discretion. You earn nothing before your application is approved.
- You must keep your partner details (name, payout method and payout email) accurate and up to date.
2. Commission
- You earn a commission of 40% of the plan fees paid by each customer you refer, for every paid invoice, for as long as that customer keeps an active paid plan ("lifetime"). If the customer cancels, commission stops. If they change plans, the 40% applies to the new plan fee.
- Commission is earned on plan fees only: the monthly or yearly fee of a Launch, Agency, White label or Developer plan. It is never earned on usage (call minutes, text messages, phone numbers), wallet top-ups or refills, taxes, or any other charge.
- A yearly plan fee may be paid out in monthly parts over the year it covers, as shown in your dashboard.
- Commission is calculated on the amount actually collected, after discounts and credits, and excludes taxes and payment processing reversals.
- Commission is shown in US dollars. We may change the commission rate for future referrals under Changes; a change never reduces commission already earned.
3. Referral link and attribution
- Your referral link carries your code (and an optional sub-tag you choose for your own tracking). A visit through your link sets a cookie that lasts 90 days.
- A new customer is attributed to you if they create an account and start a paid plan within those 90 days. The last click wins: if the visitor later clicks another partner's link, the most recent link gets the referral.
- Each customer account can be attributed to one partner only, and attribution is final once the account is created, except as stated in these Partner Terms. Our tracking records are final in case of disagreement, though we will review any reasonable question you send us.
- A referral is not attributed when cookies are blocked or cleared, when a different device or browser is used, or when the customer already had an account.
4. Hold, reversals and chargebacks
- Each commission is held for 30 days after the invoice is paid ("pending"). After the hold it becomes approved and counts toward your next payout.
- If the payment behind a commission is refunded (in full or in part) or charged back, the matching commission is reversed. A reversal during the hold voids the pending commission; a reversal after payout is deducted from your future commissions.
- We may void commissions that come from fraud, a self-referral, a breach of these Partner Terms, or a customer account we close for abuse.
5. Payouts
- We pay approved commissions monthly. A payout is sent once your approved balance is at least $50; a smaller balance carries over to the next month.
- Payouts are made by PayPal to the email in your partner settings, or by manual transfer arranged with you. You are responsible for any fees your payment provider charges you and for giving correct payout details. A payout sent to the details you gave us is final.
- We do not send a payout until a valid tax form is on file (see Tax forms), and we may delay a payout while we review suspected fraud or a breach.
- Payouts are made in US dollars.
6. Tax forms
- Before your first payout you must submit a W-9 (US persons) or a W-8BEN (non-US persons) in the partner portal, with your legal name, address and taxpayer identification number.
- You are responsible for all taxes on your commissions. We may issue tax reports (such as Form 1099) and withhold amounts where the law requires.
7. How you may promote
- Promote Avoonta honestly, in your own content and to your own audience: reviews, tutorials, blog posts, videos, newsletters people signed up for, social media and one-to-one recommendations.
- Make clear that you earn a commission on referrals, in a way your audience will see before they click (for example "affiliate link" or "I earn a commission"), as the FTC Endorsement Guides require.
- Describe the product accurately, using the facts, prices and plan details on our website at the time.
8. What is not allowed
- No self-referral. You may not refer yourself, your own business, a business you own or work for, or anyone in your household, or create accounts to earn commission.
- No paid search on our brand. You may not bid on "Avoonta" or any misspelling or variation of it, alone or with other words, in Google Ads, Bing Ads or any other paid search or paid social placement, or use them in a display URL.
- No spam. You may not send unsolicited email, texts, calls, direct messages or comments, buy or rent contact lists, or post your link where it is not welcome.
- No misleading claims. You may not promise results, guarantee income or bookings, invent discounts or coupons, misstate prices, or suggest that you are Avoonta or speak for it.
- No cookie stuffing, forced clicks, hidden frames, pop-unders, adware, browser extensions that rewrite links, or incentivised sign-ups (paying or rewarding people to sign up) unless we agree in writing.
- No promotion on sites or channels with illegal, hateful, adult or infringing content.
9. Compliance with the law
You must follow every law that applies to your promotion, including the Telephone Consumer Protection Act (TCPA) and state telemarketing laws for any call or text, the CAN-SPAM Act for any email, the FTC Act and Endorsement Guides, and privacy and data-protection laws. You are solely responsible for the consent of anyone you contact. You will indemnify Avoonta and BHIH International LLC against claims, fines and costs arising from your promotion or your breach of these Partner Terms.
10. Our brand
While you are an approved partner, we grant you a limited, revocable, non-exclusive, non-transferable licence to use the Avoonta name and the logos and materials we provide, only to promote Avoonta under these Partner Terms. Do not change them, register domain names or social handles that contain our brand, or use them in a way that suggests a partnership beyond this program. The licence ends when your participation ends.
11. Suspension and termination
- You may leave the program at any time by writing to us.
- We may suspend or end your participation at any time, with or without cause. If we end it without cause, we pay approved commissions earned up to the end date, once the hold has passed and the $50 minimum is met, or in a final payout.
- If you breach these Partner Terms (including section 8), we may end your participation immediately and you forfeit unpaid commissions connected to the breach.
- After termination you must stop using your referral link and our brand. Commissions for referrals after termination are not earned.
12. Relationship of the parties
You are an independent contractor. Nothing in these Partner Terms creates an employment, agency, partnership or joint-venture relationship. You may not make commitments on our behalf. You do not receive customer contact details: your dashboard shows referred businesses by a shortened name only.
13. Disclaimers and limitation of liability
THE PARTNER PROGRAM IS PROVIDED "AS IS". WE DO NOT PROMISE ANY LEVEL OF EARNINGS OR THAT TRACKING WILL BE UNINTERRUPTED OR ERROR-FREE. TO THE FULLEST EXTENT ALLOWED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, AND OUR TOTAL LIABILITY UNDER THESE PARTNER TERMS WILL NOT EXCEED THE COMMISSIONS PAID TO YOU IN THE 12 MONTHS BEFORE THE CLAIM [CONFIRM CAP].
14. Changes to these Partner Terms
We may change these Partner Terms, including the commission rate, cookie length, hold, minimum payout and payout methods. We will post the new version here with a new "last updated" date and, for material changes, notify you by email at least 30 days before they take effect. Changes apply to commissions earned after the effective date. If you do not agree, you may leave the program before then; continuing to promote Avoonta after that date means you accept the change.
15. General
These Partner Terms are governed by the same law and venue as our Terms of Service. They are the entire agreement about the Partner Program. If any part is unenforceable, the rest stays in effect. Our failure to enforce a right is not a waiver. You may not assign these Partner Terms without our consent. Notices to you go to the email in your partner settings.
